INDEMNIFICATION AND WARRANTIES

CHOICE OF LAW, WAIVER AND CLAIMS
These Terms of Use shall be governed by the laws of the State of Oregon without regard to its conflict of law provisions. All disputes that may arise between you and PSU shall be filed only in state or federal court located in Portland, Oregon and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms of Use. PSU 's failure to exercise or enforce any right or provision of the Terms of Use will not be deemed to be a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to modify such provision to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Use remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services must be filed within one (1) year after such claim or cause of action arose or be forever barred.
A printed version of these Terms of Use and of any related notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
EVENTS BEYOND OUR CONTROL
You absolve and release PSU and its Partners from any claim of harm resulting from any cause beyond PSU or its Partners' control, including, but not limited to, failure of electronic or mechanical equipment or communication lines, telecommunications or other interconnect problems, computer viruses or other damaging code or data, unauthorized access, theft, operator errors, severe weather, earthquakes, natural disasters, strikes or other labor problems, wars, or governmental restrictions.
MISCELLANEOUS
You may not assign, transfer or delegate your rights or obligations hereunder, in whole or in part, without PSU's prior written consent. These Terms of Use shall be binding upon and inure to the benefit of each of us and our respective successors and permitted assigns.
